Terms of Service.

Agreement & Acceptance

By accessing or using any Pearable service — including browsing our website, creating an account, purchasing credits or a subscription plan, or otherwise interacting with our platform — you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree, you must immediately stop using our services.

No separate signature or explicit click-through is required; your continued use of any part of the Pearable platform constitutes full acceptance of these Terms.

About Pearable & Scope

Pearable is a trading name of CherryWave LLC, a limited liability company. These Terms apply to all products, services, features, websites, subdomains, and applications operating under the pearable.me domain and any of its subdomains (collectively, the "Services").

Pearable provides agentic artificial intelligence services that assist users in applying for employment opportunities. Our platform may automate or assist with the drafting, preparation, and submission of job applications on your behalf, using AI models provided by third-party providers.

These Terms govern your relationship with Pearable with respect to all such Services.

Eligibility

You must be at least 18 years of age to create an account or use any Pearable Service. By using our Services, you represent and warrant that:

• You are at least 18 years old;
• You have the legal capacity to enter into a binding contract in your jurisdiction;
• You are not prohibited from using the Services under any applicable law;
• All registration information you provide is accurate, truthful, and up to date.

Pearable reserves the right to request proof of age or identity at any time and to suspend or terminate any account where eligibility cannot be confirmed.

Accounts

4.1 Registration

You are responsible for maintaining the confidentiality of your login credentials and for all activities carried out under your account. You agree to notify us immediately at hello@pearable.me if you suspect any unauthorized access.

4.2 Account Termination

Pearable may suspend or permanently terminate your account, with or without prior notice, if we determine, in our sole discretion, that you have:

• Violated any provision of these Terms or our Acceptable Use Policy (Section 5);
• Failed to pay any outstanding amounts owed to Pearable;
• Provided false, misleading, or fraudulent information during registration or application processes;
• Engaged in any form of fraud, including chargeback abuse or misuse of refund policies;
• Used automated means, bots, or scripts to access the Services in an unauthorized manner;
• Attempted to reverse-engineer, decompile, or otherwise access the underlying technology of the Services;
• Harassed, abused, or threatened Pearable staff, contractors, or other users;
• Used the Services for any unlawful purpose, including violation of any applicable employment law;
• Submitted applications containing false, defamatory, or illegal content;
• Circumvented or attempted to circumvent any security or access-control mechanism;
• Shared your account credentials with any other person;
• Violated the terms of any third-party platform whose job listings you access via Pearable.

Termination does not relieve you of any payment obligations already incurred.

Acceptable Use Policy

When using Pearable, you agree that you will NOT:

• Use the Services for any purpose that is unlawful or prohibited by these Terms;
• Misrepresent your qualifications, experience, skills, or identity in any application submitted through or with the assistance of Pearable;
• Submit applications to roles for which you are ineligible or do not intend to pursue in good faith;
• Use the Services to harass, stalk, or contact employers in an unsolicited or abusive manner;
• Overload, attack, or otherwise disrupt the integrity or performance of the platform;
• Transmit viruses, malware, or any other malicious or harmful code;
• Collect or harvest data from the platform without prior written consent;
• Use the Services in any manner that could expose Pearable or any third party to liability;
• Reproduce, duplicate, copy, sell, or exploit any portion of the Services without express written permission from Pearable.

Violations of this policy may result in immediate account suspension or termination and may be reported to the relevant authorities.

Billing, Credits & Payment

6.1 Billing Models

Pearable offers two billing models:

(a) Pay-As-You-Go: Credits are purchased on a one-time basis in the quantity of your choosing and are deducted from your balance as you use the Services. There is no ongoing commitment under this model.

(b) Monthly Plans: Pearable also offers monthly subscription plans which include an allocation of credits billed on a recurring basis each calendar month. Your subscription will automatically renew unless you cancel before the renewal date. You may cancel at any time through your account settings or by contacting hello@pearable.me; cancellation takes effect at the end of the current billing period. Credits are yours to keep — they will not be forfeited upon cancellation.

6.2 Pricing & VAT

All prices are displayed on our pricing page prior to purchase. Where required by law, VAT, GST, or equivalent indirect taxes will be calculated and added at checkout.

6.3 Payment Processing

Payments are processed by third-party payment processors. Pearable does not store your full payment card details. By submitting a payment, you authorize us and our payment processors to charge the specified amount.

6.4 Failed Payments

If a payment fails or is reversed (including via chargeback), Pearable reserves the right to immediately suspend your account and recover any outstanding amounts by any lawful means.

Refund Policy

7.1 Eligibility Window

Refund requests must be submitted within 72 hours of the original purchase. After this period, all purchases are final and non-refundable, subject to any rights you may have under applicable consumer protection law.

• EU / EEA consumers: 14-day right of withdrawal under the Consumer Rights Directive — forfeited once Services are accessed.
• UK consumers: Similar withdrawal rights apply under the Consumer Contracts Regulations 2013.
• Australian consumers: Rights under the Australian Consumer Law that cannot be excluded.
• Other jurisdictions: Mandatory local consumer rights always prevail.

7.2 Grounds for Refund

• A verified technical issue on Pearable's part prevented you from using the credits purchased;
• You accidentally purchased credits or a subscription and have not used any Services.

7.3 No Refund After Use

Pearable will not issue refunds for credits that have been used, for any subscription where Services have been accessed or credits consumed, or where any AI Output has been relied upon or submitted as part of a job application.

7.4 How to Request

Contact hello@pearable.me within the applicable window with your account details and reason for the request.

AI Services — Nature & Limitations

By using our Services, you acknowledge and agree that:

• AI-generated content may be inaccurate, incomplete, outdated, or inappropriate for a given context;
• You should not solely rely on AI-generated output when making important career decisions;
• By using our Services, you grant Pearable explicit consent to automatically prepare and submit job applications on your behalf without prior review of each individual submission;
• Pearable does not warrant that AI Output will meet any specific standard or produce any particular result;
• AI models may behave unpredictably and outputs may vary across sessions, even for identical inputs;
• Any factual claims, credentials, or representations included in applications are your responsibility, not Pearable's.

You agree to exercise your own independent judgement when using AI-generated content and to seek professional advice where appropriate.

No Guarantee of Employment

Pearable is not an employment agency, recruiter, or employer, and makes no representation, warranty, or guarantee that:

• Using our Services will result in any job interview, offer, or placement;
• Applications submitted through our platform will be reviewed, considered, or acknowledged by any employer;
• Any AI-generated content will be suitable or successful for any particular role or employer.

Employment outcomes depend entirely on factors outside of Pearable's control, including employer preferences and market conditions.

Third-Party Services & AI Providers

10.1 Use of Third-Party AI Providers

To provide our Services, Pearable transmits certain user data — including profile information, work history, and application-related inputs — to third-party AI model providers and other technology partners ("Third-Party Providers").

10.2 Data Outside Our Control

Once data is transmitted to Third-Party Providers, it is subject to their own privacy policies and security practices. Pearable accepts no liability for any breach, loss, or misuse of data that occurs outside of our systems.

10.3 Third-Party Platform Terms

You are responsible for ensuring your use of third-party job platforms accessed via Pearable complies with their respective terms of service.

10.4 No Endorsement

The inclusion of any Third-Party Provider within our Services does not constitute an endorsement or recommendation by Pearable.

Data Privacy & Cookies

11.1 Privacy

Our collection and use of personal data is governed by our Privacy Policy, available at pearable.me, which is incorporated by reference into these Terms.

11.2 Cookies

Pearable uses: (a) session cookies to maintain your authenticated login; and (b) analytics cookies via Google Analytics to understand platform usage internally. We do not use advertising cookies or sell your data to any third party. You may manage cookie preferences through your browser settings.

Security

Pearable implements industry-standard security measures including encryption in transit and at rest, access controls, and regular security assessments.

No method of internet data transmission or storage is completely secure. In the event of a data breach affecting your personal information, we will notify you in accordance with applicable law.

You are responsible for maintaining the security of your account credentials and agree not to share your password with any third party.

Intellectual Property

13.1 Pearable IP

All intellectual property rights in the Pearable platform — including software, design, branding, trademarks, and documentation — are owned by or licensed to CherryWave LLC. Nothing in these Terms grants you any rights in Pearable's intellectual property except as expressly stated.

13.2 User Content

You retain ownership of any personal data, documents, or materials you submit to Pearable. By submitting User Content, you grant Pearable a non-exclusive, worldwide, royalty-free license to use, process, and transmit such content to the extent necessary to provide the Services.

13.3 AI Output

AI-generated content produced by our Services is provided to you for your personal use. You are responsible for ensuring any AI Output you use does not infringe the rights of any third party.

Customer Support & Right to Refuse

You have the right to contact Pearable's customer support team at hello@pearable.me for assistance with your account and our Services.

Pearable reserves the right to refuse customer support or service to any individual at our sole discretion, including where we believe you have violated these Terms, engaged in abusive conduct, or where providing service would be contrary to applicable law.

Marketing Communications

Pearable will only send you promotional or marketing communications with your prior consent. You may withdraw consent at any time by clicking the unsubscribe link in any marketing email or by contacting us at hello@pearable.me.

Transactional and service-related communications — such as account notifications, payment receipts, and security alerts — will be sent as necessary regardless of marketing consent preferences.

Disclaimers of Warranties

Pearable does not warrant that: (i) the Services will meet your requirements; (ii) AI Output will be accurate or suitable for any purpose; (iii) the Services will be available at all times; or (iv) any errors or defects will be corrected.

Limitation of Liability

Nothing in these Terms limits or excludes liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be limited by applicable law.

Indemnification

You will defend, indemnify, and hold harmless Pearable, CherryWave LLC, and their respective officers, directors, employees, agents, and licensors from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• your use of or access to the Services;
• your User Content or any AI Output you choose to rely on, edit, or submit;
• your breach of these Terms or any applicable law or regulation;
• any violation of recording or consent laws in connection with your use of the Services;
• any misrepresentation, false credential, or unlawful information included in any application submitted through our Services;
• your violation of any third-party platform terms in connection with your use of our Services.

Arbitration & Class Action Waiver (U.S. Residents Only)

This Section applies to users residing in the United States of America.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved exclusively through final and binding individual arbitration under the rules of the AAA or JAMS as selected by Pearable.

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent infringement of intellectual property rights. This clause does not apply where mandatory arbitration of consumer disputes is prohibited by law.

Changes to These Terms

Pearable reserves the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms with an updated "Last Updated" date and, where practicable, by email notification.

Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree, you must stop using the Services.

Force Majeure

Neither Pearable nor you shall be liable for any delay or failure to perform obligations under these Terms where such delay or failure arises from circumstances beyond the affected party's reasonable control, including but not limited to:

• Acts of God, natural disasters, floods, or extreme weather events;
• Internet or telecommunications outages or infrastructure failures;
• Cyberattacks, denial-of-service attacks, or security incidents affecting third-party systems;
• Labor disputes, strikes, or industrial action;
• Government action, legislation, regulation, sanctions, or export restrictions;
• Epidemic, pandemic, or public health emergency;
• Changes to the terms, availability, or functionality of third-party platforms or AI providers.

The affected party shall promptly notify the other and shall use reasonable efforts to mitigate the effects of the force majeure event.

Export Controls & Sanctions

The Services are subject to U.S. export control laws including the Export Administration Regulations (EAR) and economic sanctions administered by OFAC. You represent and warrant that you are not located in, ordinarily resident in, or acting on behalf of any entity in a country subject to a U.S. government embargo, and are not named on any U.S. government prohibited or restricted parties list.

You agree not to use the Services in violation of any applicable export control laws or sanctions regulations.

Assignment

You may not assign or transfer any of your rights or obligations under these Terms without Pearable's prior written consent. Pearable may freely assign or transfer its rights and obligations, including in connection with a merger, acquisition, or sale of assets. Any purported assignment in violation of this Section is void.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.

Subject to Section 19, any dispute not subject to arbitration shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, USA.

For EU/UK users, nothing in these Terms affects your rights to bring a claim in the courts of your country of domicile or to rely on mandatory consumer protection provisions in your jurisdiction. Mandatory local laws always prevail to the minimum extent necessary.

Entire Agreement; Severability; Waiver; Headings

These Terms, together with our Privacy Policy and any other policies expressly incorporated herein, constitute the entire agreement between you and Pearable with respect to the Services and supersede all prior understandings and agreements.

If any provision is held invalid or unenforceable, it shall be severed and the remaining provisions shall continue in full force and effect. Pearable's failure to enforce any right or provision shall not constitute a waiver. Section headings are for convenience only and shall not affect interpretation.

Third-Party Rights

These Terms do not and are not intended to confer any rights or remedies upon any person other than you and Pearable. Nothing in these Terms shall be construed to create any third-party beneficiary rights.
